Our involvement begins as early as the underwriting phase to counsel clients on the most effective loan and collateral structure and continues throughout the loan funding and closing process. Our representation includes commitment letter and loan document preparation, documentation negotiation, due diligence review (including title, survey, lease, franchise, construction and corporate documents), negotiation of title insurance coverage, the preparation and negotiation of third party landlord and franchisor documentation, and the facilitation of the funding process.

With respect to site specific documentation, our representation includes the preparation of real estate purchase and sale documentation, leases, employment contracts, and construction contracts as well as assisting our clients with the review and analysis of general due diligence documents (including title, survey, environmental reports and related due diligence items).
For clients that are interested in financing their business ventures, our practice group has extensive experience representing franchisees borrowers with a vast array of lending needs including single site construction loans, development lines of credit, multi-unit refinances, sale/leasebacks and acquisitions, working capital and general business loans.
This practice group works in tandem with the Commercial Real Estate Department and the Corporate Department to manage and structure each transaction to best suit each client’s business objectives (including the implementation of the appropriate business structure and the formation of the appropriate holding and operating entity(ies)).
